i plugged the plug, it did the 5 min wait on battery and then said it was going to hibernate. the system shut down.. when i plugged the UPS back into wall, turn on system, says "resuming windows" .. then reboots and comes up to screen :
"the last attempt to resume system from previous location failed attempt to resume again"
continue or
delete restoration data and proceed to system boot
i chose the latter.. and windows vista 64 loads up fine.
i dont have any power options enabled in windows including hibernate. do i have to turn hibernate on? is there a way where the software just shuts down windows without hibernation?

just figured it out.. i disabled hibernation (even though all my power options are set to off for hibernation in control panel) through cmd, type powercfg -hibernation off
then when i unplugged the UPS, i got a shutdown window instead of hibernate! shutdown safely. booted up fine. thats what i wanted.
