Why are some device groups have an X next it? Could that be why I'm unable to assign UPS to them?

Mr Muro,
An X on a device group means that there is a device within that group that has a critical alarm on it. A yellow triangle would indicate that there is a warning alarm on a device within a group. The most severe alarm type (that is active) will always display on that icon. If no alarms are present no icon will appear on the folder icon.
